Paid seats vs. Active users

I was trying to add a new FULL user to our account and it is saying that we are full and that this new user will add X amount to our annual bill.  I thought we had some headroom and some vacant seats.  I removed one person from the FULL status and went to look at the active users.  Sure enough that person is now marked as guest and the number of active users is 2 less than the number of seats that shows up on the billing page.  When I tried again, it is still saying it is going to add a seat..

If we have 2 open seats, why is it saying that it is going to bill us for another seat?
